Vivian, a member of the Firm’s Corporate and Securities Practice Group and the Public Company Advisors Team, helps clients design and implement compensation systems to drive success by attracting, motivating and retaining top talent.

Vivian has worked on deals in the US, UK and beyond for public and private companies and venture capital/private equity firms in numerous sectors, including technology, hospitality, health care, manufacturing, consumer goods, and banking and finance. Her experience extends to advising public companies on compensation and corporate governance issues and on the proxy voting guidelines of institutional investors and proxy advisory firms such as ISS and Glass Lewis.

Vivian also counsels companies on designing and implementing equity incentive plans and employment, severance, change-in-control and other compensation-related arrangements for both private and public companies, as well as advising clients on the tax, securities, and other federal and state law issues with respect to such plans and arrangements. Vivian is a member of the National Association of Stock Plan Professionals and the National Asian Pacific American Bar Association, is active with the Minority Corporate Counsel Association, and volunteers as a Stanford University alumni interviewer in the North Carolina Triad area.

Jane Jeffries Jones has represented over 200 companies in executive compensation and corporate matters during her more than 25 years practicing law. She is a partner in the firm’s Corporate and Securities Practice Group and represents many of the firm’s public securities team (PCAT) public company clients. Jane also has significant experience advising private equity firms, startup companies and other domestic and global companies with respect to executive compensation matters.

Jane’s practice involves advising clients in all areas of executive and director compensation and related corporate governance matters, including the design and implementation of equity-based compensation plans, employment agreements, cash incentive plans, change in control arrangements, severance and separation arrangements, director compensation plans and nonqualified deferred compensation plans.

In addition, Jane advises clients regarding US federal and state securities laws and US federal tax laws related to executive compensation matters. She also advises her clients’ boards of directors and compensation committees regarding corporate law issues related to executive compensation matters, such as director fiduciary duty issues and corporate governance best practices.

Tripp has represented major tobacco companies in matters ranging from major antitrust litigation to zoning, but focuses his practice on regulatory affairs, public policy, litigation, and environmental, social, and governance (ESG) matters.

Tripp served as General Counsel and Vice-President of Government and Regulatory Affairs for Conwood Company L.P., now American Snuff Company; Assistant General Counsel and Vice President for RAI Services Company; and as Vice President, Strategic Engagement and Corporate Sustainability for RAI Services Company. Tripp helped formulate Reynolds American Inc.’s ESG strategy while supporting the company’s efforts to engage stakeholders and policymakers on difficult and controversial issues, including the taxation and regulation of nicotine products; human rights in the supply chain; and illicit cigarette trafficking. He also worked to ensure that the laws regulating the manufacture, marketing, taxation, and sale of tobacco products were fairly enforced across the industry. Since 2012, Tripp has also served as President of the Reynolds American Foundation, a private foundation supported by Reynolds American Inc.
