2019 HSR Thresholds Announced by FTC

On February 15, 2019, the FTC announced the annual changes to the Hart-Scott-Rodino (HSR) Act filing thresholds.  The changes will become effective 30 days after publication in the Federal Register, which is expected to occur this week.

The new 2019 thresholds are slightly higher than the 2018 thresholds, and are as follows:

Size-of-parties thresholds$18M and $180M (up from $16.9M  and $168.8M in 2018)

Smaller size-of-transaction threshold (which requires size-of-parties thresholds to be met in order to trigger the filing requirement):  $90M (up from $84.4M in 2018)

Larger size-of-transaction threshold (which triggers a filing requirement regardless of the size-of-parties):  $359.9M (up from $337.6M in 2018)

The HSR filing fees remain unchanged (ranging from $45,000 to $280,000), although the fee required for a particular transaction will be determined based on these adjusted thresholds.
