As a reminder, Massachusetts nonprofit organizations have until November 1, 2012 to file their annual reports with the Secretary of the Commonwealth. Nonprofit annual report forms may be downloaded from the Secretary’s website, or may be obtained from your lawyer at Foley Hoag.

Compliance with annual report filings is particularly important, as nonprofits that fail to make filings for two consecutive years may be subject to an administrative dissolution effected by the Secretary of the Commonwealth. This past June, hundreds of nonprofit organizations were administratively dissolved as a result of missed filings. Revival of an administratively dissolved nonprofit requires filing the delinquent annual reports and an application for reinstatement with the Secretary of the Commonwealth.
